5.3 Order Confirmation and Cancellation
Upon successful submission of your order and payment authorization, you will receive an order confirmation via email or on-screen notification. An order confirmation does not constitute a final acceptance of your order; we reserve the right to refuse or cancel any order at any time for reasons including, but not limited to, unavailability of items, errors in pricing or product descriptions, or suspected fraudulent activity. In the event of cancellation after payment has been processed, we will issue a full refund through the original payment method within a commercially reasonable timeframe.

In jurisdictions that do not allow the exclusion or limitation of liability for consequential or incidental damages, our liability shall be limited to the maximum extent permitted by law. In no event shall our total aggregate liability to you for all claims arising under or in connection with these Terms exceed the greater of: (a) the total amount paid by you for the specific order giving rise to the claim; or (b) one hundred United States dollars ($100.00).

13. Dispute Resolution and Arbitration
13.1 Informal Resolution
Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Website informally by contacting us at [email protected]. We will make reasonable good-faith efforts to resolve your concern within thirty (30) days of receipt of your written notice. If the matter is not resolved within that period, either party may proceed to binding arbitration as described below.
13.2 Binding Arbitration
EXCEPT AS OTHERWISE PROVIDED HEREIN, ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS, OR THE BREACH, TERMINATION, OR VALIDITY THEREOF, SHALL BE FINALLY RESOLVED BY BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (AAA) IN ACCORDANCE WITH ITS CONSUMER ARBITRATION RULES THEN IN EFFECT. The arbitration shall be conducted in the English language. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
13.3 Class Action Waiver
YOU AND DEWEY'S PIZZA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. This class action waiver is an essential element of this arbitration agreement. If this waiver is found to be unenforceable, the entire arbitration provision shall be null and void.
13.4 Exceptions
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm, including but not limited to claims involving intellectual property rights violations.
14. Term and Termination
These Terms are effective as of the date you first access or use the Website and shall remain in full force and effect until terminated in accordance with this Section.
14.1 Termination by You
You may terminate your use of the Website at any time by simply discontinuing access to and use of the Website and, if applicable, by deleting your user account.
14.2 Termination by Us
We reserve the right, in our sole discretion, to suspend, restrict, or terminate your access to the Website and/or your account at any time, with or without notice, for any reason, including but not limited to:
- Violation of these Terms or any applicable law;
- Engaging in fraudulent, abusive, or unlawful activity;
- Behavior that is harmful to other customers, our staff, or our business reputation;
- Failure to pay amounts owed;
- Requests by law enforcement or government authorities;
- Technical or security issues.
14.3 Effect of Termination
Upon termination, your right to access and use the Website shall immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, disclaimers of warranties, limitation of liability, indemnification, and dispute resolution provisions.
15. Changes to These Terms
We reserve the right to modify, update, or replace these Terms at any time in our sole discretion. Any changes will become effective immediately upon posting of the revised Terms on this Website, unless otherwise stated. The "Last Updated" date at the top of this page will be revised to reflect the date of the most recent changes.
We will make reasonable efforts to notify you of material changes to these Terms, which may include posting a notice on the Website homepage, sending an email notification to the address associated with your account, or displaying a banner notification when you next visit the Website. However, it is your responsibility to review these Terms periodically. Your continued use of the Website after the posting of any changes constitutes your binding acceptance of the revised Terms. If you do not agree to the revised Terms, you must immediately stop using the Website.
16. Severability
If any provision of these Terms is found by a court of competent jurisdiction or arbitrator to be invalid, illegal, unenforceable, or in conflict with applicable law, such provision shall be deemed modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions of these Terms shall continue in full force and effect and shall not be affected by such invalidity, illegality, or unenforceability. The parties acknowledge that they would have entered into these Terms even without such invalid, illegal, or unenforceable provision.
17. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices, policies, or agreements published by Dewey's Pizza on this Website, constitute the entire agreement between you and Dewey's Pizza with respect to your use of the Website and Services, and supersede all prior and contemporaneous agreements, representations, warranties, and understandings between the parties relating to the subject matter herein, whether written or oral.
18. Waiver
No waiver by Dewey's Pizza of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition, or a waiver of any other term or condition. Any failure of Dewey's Pizza to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
19. Force Majeure
Dewey's Pizza shall not be liable for any failure or delay in performance of its obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, epidemics or pandemics, fire, flood, war, terrorism, civil unrest, governmental actions, labor disputes, power outages, telecommunications failures, or interruptions to third-party services or platforms. In such events, we will make commercially reasonable efforts to resume performance as soon as practicable.
